McCormick & Company, Incorporated (NYSE: MKC) Earnings Review ...

McCormick & Company, Incorporated (NYSE: MKC), a global leader in flavor, today reported strong increases in sales and profit for the second quarter of fiscal year 2011. The Company adjusted its 2011 financial outlook to reflect the impact of recently announced agreements to acquire a leading flavor brand in Poland and a majority interest in a joint venture in India.

  • In the second quarter, the Company increased sales 11%. In local currency, the sales increase was 8%. Earnings per share rose 12% to $0.55.
  • Projected CCI cost savings are now expected to be at least $45 million in 2011.
  • The Company expects to achieve $2.74 to $2.79 earnings per share for fiscal year 2011, which includes estimated transaction costs related to recent announcements of an acquisition and a joint venture.

Alan D. Wilson, Chairman, President and CEO, commented, ?We were pleased to report double-digit increases in both sales and profit this quarter. We achieved a strong performance in both our consumer and industrial segments through new products, increased distribution and effective brand marketing. Our profit performance demonstrates our ability to offset steep cost increases with a combination of pricing actions and cost savings from our Comprehensive Continuous Improvement program. CCI is our on-going initiative to improve productivity and reduce costs throughout our organization. McCormick employees are highly engaged in this effort and we now expect to deliver at least $45 million of CCI cost savings in 2011.

?We are also executing well against our strategy to expand our presence in emerging markets with our current businesses and through acquisitions. Our business in China has particularly strong growth driven by new product innovation and expanded distribution. In early June we announced an agreement to enter into a joint venture to market and sell in India, Kohinoor, a leading brand of basmati rice and other food products. Earlier this week we announced an agreement to acquire Kamis, a leading brand of spices, seasonings and mustard in Poland. We are excited about potential growth opportunities for both of these businesses and with these additions to our portfolio, expect more than 12% of 2012 sales to come from emerging markets, up from 9% in 2010.?

McCormick?s second quarter sales rose 11% and increased 8% in local currency. Pricing actions, taken in response to increased raw and packaging material costs, added 5% to sales, while favorable volume and product mix drove a 3% increase. Consumer business sales rose 10%, which included 3% from favorable currency exchange rates. For this business segment, both pricing and increased volume and product mix added to sales. McCormick grew volume and product mix of its consumer business through new product introductions, brand marketing support and new distribution in a number of countries including the U.S., Canada, France and China. Industrial business sales rose 11% and increased 8% in local currency with increases in volume and product mix, as well as pricing. Customer demand for McCormick?s industrial products, including new items, rose in each of McCormick?s three geographic regions, led by a 10% increase in volume and product mix in the Asia/Pacific region. Across both segments, the Company has grown sales 7% and in local currency, sales have increased 5% through the first half.

During 2011, pricing actions and cost savings from CCI are expected to offset increased material costs. Even though material costs have increased beyond the Company?s initial projection, McCormick now expects to achieve at least $45 million of cost savings from CCI in 2011, up from its initial projection of at least $40 million. The Company is offsetting the dollar impact of higher costs with pricing actions and CCI cost savings. However, the net effect of these factors caused gross profit as a percentage of sales to decline in the second quarter when compared to the year-ago period, and the Company expects a decline in gross profit margin to continue through the second half of 2011.

Earnings per share rose 12% to $0.55 from $0.49 in the second quarter of 2010. This $0.06 per share increase was driven by higher operating income. Year to date, cash flow from operations was $36 million, compared to $65 million in the year-ago period due to higher inventory. Inventory rose primarily as a result of the higher cost of materials, the impact of currency exchange rates, and raw material positions taken in order to assure a steady supply of product. The Company is currently implementing a new inventory management process, which is expected to improve inventory levels.

During the month of June, McCormick made excellent progress with its acquisition strategy. Early in the month, an agreement was signed with Kohinoor Foods Limited for an 85% interest in a joint venture to market a leading brand of basmati rice and other food products in India. McCormick will consolidate sales and profit from Kohinoor in its financial results, with a minority interest reduction to net income for the 15% of the business it does not own. On June 28th, McCormick announced an agreement to acquire 100% of the shares of Kamis S.A., which manufactures and markets a leading brand of spices, seasonings and mustard in Poland with annual sales of approximately $105 million. With an estimated completion of these two agreements by the end of McCormick?s third quarter, only a portion of annual sales will be recorded in the Company?s 2011 financial results. Profit from these businesses will be minimal in 2011 due to integration costs and initial investments in growth, but is expected to be $0.07 to $0.09 accretive to earnings per share in 2012. In 2011, the Company expects to record $9 million in transaction related costs, of which $2 million was recorded in the second quarter with the remaining $7 million expected to lower earnings per share in the third quarter by $0.05.

McCormick has adjusted its financial outlook for 2011 to reflect these two agreements. The Company has raised its projected range of sales growth in local currency to 6 to 8%, to include 1% of incremental sales from Kohinoor and Kamis. In addition, the sales impact of favorable currency exchange rates is now estimated to be 2%. Earnings per share are expected to be $2.74 to $2.79. This is a reduction of $0.06 from the previous earnings per share outlook to reflect the $9 million in transaction costs related to Kohinoor and Kamis. Third quarter earnings per share will be affected by $7 million of these costs with an estimated $0.05 reduction to earnings per share. Also in the third quarter of 2011, McCormick is investing in its brands with at least $6 million of incremental marketing which includes an emphasis on brand value, a U.S. campaign behind Hispanic products and advertising for the Zatarain?s brand.

Rockets push back rebels south of Libyan capital (Reuters)

BIR-AYYAD, Libya (Reuters) ? Libyan rebels who had advanced to within 80 km (50 miles) of Muammar Gaddafi's stronghold in the capital were forced to retreat on Friday after coming under a barrage of rocket fire from government forces.

The rebels' advance five days ago to the outskirts of the small town of Bir al-Ghanam had raised the possibility of a breakthrough in a four-month old conflict that has become the bloodiest of the "Arab Spring" uprisings.

Rebel fighters who had been massing on a ridge near Bir al-Ghanam and preparing for an attack were now pulling back under fire from Russian-made Grad rockets, said a Reuters photographer in Bir-Ayyad, 30 km to the south.

He said the rocket barrage was now reaching as far back as Bir-Ayyad, a road junction in the foothills of the Western Mountains range south-west of Tripoli from where the rebels had launched their advance last week.

The reverse underlines the resilience of Gaddafi's forces, who have withstood 15 weeks of bombardment by NATO missiles and warplanes, and attempts by rebels on three fronts to break through their lines.

Frustration at the slow progress is growing inside the military alliance, with some members worried about the cost, civilian casualties, and the fact the campaign has now been going on much longer than its backers anticipated.

There are also differences about how proactive NATO members should be in aiding the rebels, who are hampered by a lack of organization and a shortage of equipment.

France this week became the first member of the anti-Gaddafi alliance to acknowledge that it had supplied weapons to the rebels, saying this was justified to protect civilians under threat from Gaddafi's forces.

It said it used parachutes to drop assault rifles and rocket launchers, along with humanitarian supplies, to rebels in the Western mountains.

That admission prompted Russia, a permanent member of the United Nations Security Council, to accuse France of a "gross violation" of a U.N. arms embargo.

Even France's NATO allies distanced themselves from the French operation, though Britain and the United States said they believed it was justified under U.N. rules.

"ALLIANCE WITH THE DEVIL"

Gaddafi has said the NATO campaign is an act of colonial aggression aimed at stealing Libya's plentiful oil. His aides say arrest warrants issued on Monday by the International Criminal Court for him, his son and his brother-in-law have no legitimacy because the court is a tool of the West.

Gaddafi's daughter, Aisha, said in a television interview broadcast late on Thursday that her father's administration was prepared to cut a deal with the rebels if that was what it took to stop the bloodshed.

The offer marks a shift in tone. Until now Libyan officials have dismissed the rebels as criminals and no one in the Libyan leader's inner circle has publicly raised the possibility of making any accommodation with them.

"There are direct and indirect negotiations and we should stop letting Libyan blood," Gaddafi's daughter said in an interview with France 2 television.

"And for that we are ready to ally with the devil and that is the armed rebels," said Aisha Gaddafi, a lawyer who has no official government role but has often acted as a mediator on behalf of her family.

But she dismissed the prospect of her father going into exile. "This word departure, departure, departure ... what I find strange is where do you want him to go? This is his country, his land, his people," she said.

The London-based Asharq al-Awsat newspaper reported Gaddafi's representatives had been meeting officials from France and Britain on the Tunisian island of Djerba.

Citing unnamed sources from the Gaddafi and opposition camps, the newspaper said Gaddafi was willing to step down if he was spared prosecution and allowed to live in his hometown of Sirte, northern Libya, with guarantees for his security.

There was no confirmation of the report from Gaddafi's government, Britain or France.

OPTIONS NARROWING

Anti-Gaddafi rebels rejected talks with the Libyan leader's administration after the International Criminal Court issued its arrest warrants, saying there was no point talking to a war criminal.

Some Libya-watchers say Gaddafi has floated the possibility of a peace deal several times to stall for time and weaken the resolve of the Western alliance to push him out.

But others say he may be looking for a negotiated exit as his options narrow. International sanctions are causing a shortage of fuel in Gaddafi-controlled areas, and NATO strikes are eroding his ability to enforce his power.

The Libyan conflict has sent ripples far beyond the North African country of six million people.

The fighting has halted Libyan oil exports, helping push up world crude prices to about $111 a barrel.

It has also created a security vacuum which officials in the region say could be exploited by Islamist extremists and al Qaeda's North African wing.

"If this civil war goes on, it would be a new Somalia, which I don't say lightly. In three months we could be dealing with extremists," Marouane Abassi, World Bank country manager for Libya, told Reuters in the Tunisian capital.

This not only address the technical aspects of continuous treatment, regardless of the circumstances, but also have an angle of attractive return on investment as well. It does not take a genius to work there are tremendous savings in terms of energy spent, the air conditioning needs, the cost of replacement of the life cycle and maintenance costs, simpler and overhead support to care for such a small and simple infrastructure. This is NOT the cloud by the way?? it is within the customer?s own server room or data center environment. So, at least as far as customers are concerned?? ROI comes in the discussion early, and tends to become very interested indeed executives. In fact, a?? that?s about a 50/50 split with the entry point between the sponsorship of the project manager / director responsible and FD or MD. There are attractive benefits for all.

The talent feels its chances getting as stale as pre-sliced bagels. The agony of the wait and of eyeballing the sizable audience are enough to offset the frigid air conditioning. Team by team, one by one, they?re shuffled on-stage, then off, just as quickly as they can showcase their company?s capabilities. Right after, they?re complimented or questioned, and then it?s out the door.

Simon Cowell?s latest game show experiment?

Nope: it?s angel investing. And it?s thriving in New York City.

In a conference room overlooking the Manhattan skyline, the New York Angels welcome on an early June day about a half-dozen entrepreneurial teams?peHUB attended the off-record meeting under the expectation we would not publish the companies? names.

As the packed conference room watches, companies ranging from social media startups to healthcare marketing businesses deliver pitches, noshing down the obligatory mini-Danish, fruit and coffee breakfast spread in a meeting that carries into the early afternoon. To varying degrees, entrepreneurs field questions, receive accolades and then make elevator pitches in the hallway to potential investors looking to get a little more beyond what the presentation had to offer.

David S. Rose, chairman of the Angels? board, manages to keep a meeting that could run deep into the afternoon from extending past lunch.

Gesticulating, often wildly, he both ushers presenters to the stage that is little more than a pull-down screen and then shoos them off.? In between he offers quick summations of their tech and products to the audience to bring the crowd up to speed, and provides fellow Angels updates on past deals.

It?s a lengthy list to track. Among the Angels are those who invested in uKnow, Viddler, Magnify Networks, Pond5, SetJam, Challenge Post and BioScale. Angels executive director Paul Sciabica points out that the group invested $40 million in more than 70 companies.

Some of their investments have already been realized, a triumph for a group that historically sees average exit times of up to nine years (?Certainly, our spouses do not want to hear that,? he says). But with big-name VCs like Alan Patricof among his network?as well as one of the title-name partners of a New York private equity firm, whose ID we can?t reveal yet?the Angels are fast becoming the in-crowd of the NYC seed investing scene.

The current incarnation of the angels grew from the New York New Media Association, which shuttered most of its various branches during the onset of the first dot-com boom and subsequent bust. NYNMA?s angel investor program wasn?t shut down. Instead, it set out on its own and grew into the angels? 75-member team.

?When we started, we were pretty close to the only functional angel game in town,? Rose tells peHUB.

No more. The angel network now counts plenty of New York and nearby angel and seed funding groups among its team, including Golden Seeds, Tevel, ArchAngels, Keiretsu, Life Science.

Because the investment rounds are not publicized, and because the definition of a seed investor seems to defy characterization, blending into the larger base of VC shareholders, it is virtually impossible to peg specific figures to the early-stage investors as an asset class. Still, the momentum of the New York Angels reflects an increased shift toward seed stage investing by a growing number of players that are diversifying the NYC scene beyond just Internet companies, says Canaan Partners? newest general partner and East Coaster, Warren Lee.

?There has been a clear surge in seed and early stage startup fundings in the New York area over the past 18 months,? he said to peHUB. ?That?s a big thing for New York.?
